DocLink (Private) Limited: DocLink-Doctor Application

IMPORTANT — PLEASE READ CAREFULLY:

By registering, accessing, or using the DocLink Doctor mobile application (the "App"), you accept and agree to be bound by these Terms and Conditions and the DocLink Privacy Policy. If you do not agree, do not use the App.

1. Definitions

1.1 DocLink, we, us, or our means DocLink (Private) Limited.

1.2 App means the DocLink Doctor mobile application, its related website interfaces, APIs, features, and updates.

1.3 Doctor, User or you means a licensed medical practitioner registered with the Sri Lanka Medical Council and using the App.

1.4 SLMC means the Sri Lanka Medical Council.

1.5 PayHere means PayHere (Pvt) Ltd., DocLink's payment gateway provider.

1.6 AWS means Amazon Web Services.

1.7 Personal Data means any information relating to an identified or identifiable individual as defined in the DocLink Privacy Policy.

1.8 Privacy Policy means the DocLink Privacy Policy, incorporated by reference.

1.9 Services means App features provided in the initial release: doctor profile management; self- entered financial/income analytics; upload, storage, and management of pre-/post-operative instructions (text, image, audio, video); and supporting administrative/diagnostic functions.

1.10 Account means a registered DocLink account.

2. Acceptance and Amendment of Terms

2.1 These Terms govern your access to and use of the App. By registering, installing, or using the App, you accept these Terms and the Privacy Policy.

2.2 DocLink may amend these Terms at any time. We will post the current Terms in the App and notify registered users of material changes by email where required by law. Continued use of the App after a change constitutes acceptance of the amended Terms.

3. Scope of Services (Initial Release)

3.1 The App's initial release is strictly doctor-only (Sri Lanka). Patient, hospital, or public user onboarding, appointment booking, queue tracking, or patient uploads are not provided in this release. Those functions may be added in future releases and will be governed by updated Terms and Policies.

3.2 Services in this release include: profile management; self-recorded income/financial analytics; upload and management of doctor-created pre-post-operative instructions (text, images, audio, video); and system logs/diagnostics.

4. Eligibility, Registration & Verification

4.1 Eligibility: Only licensed medical practitioners registered with the SLMC and actively practicing in Sri Lanka may register. By registering, you warrant that you meet these criteria.

4.2 Registration: You must provide accurate and complete registration data. DocLink may require identity/professional documentation (SLMC number, NIC, or passport) for verification.

4.3 Verification & Suspension: DocLink may suspend, restrict, or refuse accounts where verification fails or where DocLink reasonably suspects fraud, impersonation, misconduct, or breach of these Terms.

5. Account Security & Responsibilities

5.1 Account Security: You are responsible for protecting your Account credentials and for all activity under your Account. Notify DocLink immediately of unauthorized access.

5.2 Authorized Use: You shall use the App only for lawful, professional purposes consistent with these Terms and applicable professional regulations. Do not share your Account with others.

5.3 Accuracy: You warrant that the data and content you input (including financial entries and uploaded materials) are accurate and lawful.

6. Acceptable Use & Professional Conduct

6.1 Compliance: You must comply with SLMC professional standards, confidentiality obligations, applicable law, and these Terms.

6.2 Patient Data: Although patient upload features are not part of the initial release, if you upload patient-identifiable information, you must have obtained all required patient consents and legal authorizations. DocLink is not responsible for verifying consent.

6.3 Prohibited Content: You must not upload unlawful, abusive, defamatory, misleading, pornographic, or otherwise prohibited content.

6.4 Medical Advice: DocLink is a healthcare technology platform and not a healthcare provider; you bear full responsibility for the medical advice, diagnosis, or treatment you provide.

7. Data, Privacy & Confidentiality

7.1 Privacy Policy: DocLink's collection and processing of Personal Data is governed by the Privacy Policy. You acknowledge that you have read and agree to it.

7.2 Permissions: The App may request device permissions (camera, storage) to enable uploads and optional profile photo features. Location is used only for one-time practice verification and not for continuous tracking.

7.3 Data Retention & Rights: Data retention, access, correction, deletion and other privacy rights are as set out in the Privacy Policy. Contact dpo@docklink.lk to exercise data rights.

8. Payments, Fees & Financial Data

8.1 Payment Provider: Any payment functions are processed through PayHere (Pvt) Ltd. and are subject to PayHere's terms and banking/card network rules.

8.2 Self-Reported Financial Data: Financial analytics and income data in the App are self-entered by Doctors. DocLink does not verify or audit these entries — you are responsible for accurate reporting and applicable tax compliance.

8.3 Fees & Agreements: Any fees or revenue sharing arrangements will be governed by separate written agreements between DocLink and the Doctor, where applicable.

9. Intellectual Property Rights

9.1 DocLink IP: DocLink retains all rights to the App, software, branding, and proprietary content.

9.2 User Content: You retain ownership of your uploaded content. You grant DocLink a worldwide, royalty-free, non-exclusive license to host, store, display and transmit such content solely to provide the Services. DocLink will not use your content for marketing without your consent.

9.3 Restrictions: You shall not decompile, reverse engineer, copy, or attempt to derive the App's source code.

10. Warranties, Disclaimers & Limitation of Liability

10.1 No Medical Warranty: DocLink provides a technology platform only and makes no warranty regarding medical advice provided by doctors.

10.2 No Other Warranty: THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT WHERE REQUIRED BY LAW, DOCLINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

10.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCLINK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. DOCLINK'S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID DOCLINK IN THE PRIOR 12 MONTHS (IF ANY), OR LKR 50,000 WHERE NO PAYMENTS HAVE BEEN MADE — WHICHEVER IS LOWER — EXCEPT AS REQUIRED BY LAW.

11. Indemnity

You shall indemnify and hold DocLink and its representatives harmless from any losses, liabilities, damages or expenses (including legal costs) arising out of: (a) your breach of these Terms; (b) your violation of law or third-party rights; (c) your uploaded content; or (d) any medical services or advice you provide.

12. Suspension, Termination & Data Handling

12.1 Suspension/Termination: DocLink may suspend or terminate Accounts for breach, suspected fraud, or misuse at its discretion.

12.2 Effect: Upon termination, access ends, and DocLink may delete or anonymize your data consistent with the Privacy Policy and legal retention obligations.

12.3 Survival: Provisions regarding IP, indemnity, liability, and governing law survive termination.

13. Modifications to App & Services

DocLink may modify, add, suspend, or discontinue any App feature at any time. DocLink will endeavor to provide notice of material changes to registered users.

14. Export Controls & App Store Cooperation

14.1 Export Compliance: You agree to comply with applicable export control laws when using the App.

14.2 App Store Cooperation: DocLink may be required to cooperate with Apple App Store review processes and provide requested compliance or developer contact information.

15. Third-Party Services & Links

15.1 Third Parties: The App depends on third-party providers (PayHere, AWS). DocLink is not responsible for third-party practices beyond our contractual obligations.

15.2 Links: Third-party links are provided for convenience and do not imply endorsement.

16. Dispute Resolution & Governing Law

16.1 Governing Law: These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka.

16.2 Jurisdiction: Disputes shall be subject to the exclusive jurisdiction of Sri Lankan courts unless otherwise agreed in writing.

18. Emergency & Health Disclaimer

The App is not intended for emergency use. In emergencies, call local emergency services or proceed to the nearest hospital. Reliance on the App for urgent medical needs is prohibited.

19. Children & Minors

The App is for licensed medical professionals only. Persons under 18 must not register or use the App. DocLink will remove any data of minors discovered to be collected improperly.

20. Entire Agreement & Miscellaneous

20.1 Entire Agreement: These Terms together with the Privacy Policy constitute the full agreement between you and DocLink regarding the App.

20.2 Severability: Invalid provisions will be severed and the remainder enforced.

20.3 Assignment: You may not assign your rights without DocLink's written consent. DocLink may assign or subcontract as needed.

20.4 Notices: DocLink may provide notices via email or in-app messaging. Notices to DocLink should be sent to the DPO email above.
